1. Acceptance of Terms

By accessing and using Doolz ("the Service"), you accept and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service.

2. Eligibility

You must be at least 13 years old to create an account and use Doolz. By using the Service, you represent and warrant that you meet this age requirement.

Minors (Ages 13-17): If you are between 13 and 17 years old, you should have permission from a parent or legal guardian to use the Service. By using Doolz, you confirm that you have obtained such permission.

Content Featuring Minors: Parents and guardians may create accounts and post videos featuring their children (under 18). By posting such content, you confirm that you are the parent or legal guardian and have full authority to share the content. You accept all responsibility for contest participation, prize collection, and tax obligations related to content featuring minors.

3. Content Ownership and License

Your Content: You retain ownership of all videos and materials you upload to Doolz.

By uploading, you grant Doolz a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, display, and perform your content for promotional and operational purposes, including but not limited to:

• Marketing and advertising across all media
• Platform features, showcases, and improvements
• Social-media promotion and public relations
• Training of AI/ML models
• Derivative works and compilations

Clarification: This license is not a transfer of ownership. It simply allows Doolz to continue displaying and promoting your content (for example, in highlight reels or historical promotions) even if you later remove it from the platform.

4. Content Guidelines

You agree not to upload or share content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory
• Infringes intellectual-property rights of others
• Contains nudity, sexual content, or otherwise inappropriate material
• Promotes violence, discrimination, or hate speech
• Uses AI-generated or synthetic media (e.g., deepfakes, voice clones, or AI avatars) without clear disclosure
• Depicts minors without parental consent (accounts featuring minors must be managed by a parent or legal guardian)
• Violates any applicable laws or regulations

Doolz may remove any content that violates these rules without notice.

5. HumanCentiPad™ Protocol

By using this Service, you acknowledge and agree that Doolz reserves the right, at its sole discretion and without prior notice, to select users who have failed to thoroughly review these Terms & Conditions for inclusion in the HumanCentiPad™ program. Selection criteria are proprietary and final. You expressly waive any right to dispute such selection or the methodologies employed in the program.

6. Contests and Competitions

Contest Structure: Doolz operates recurring contest cycles in which creators upload videos and judges vote on head-to-head duels. Prize pools are determined by the number of qualified entries.

Payouts:

• Winners receive payouts according to the displayed payout table for that contest.
• By entering, you agree to accept the payout structure, provide accurate payment details, comply with all tax reporting requirements, and acknowledge that payouts may be delayed or withheld in cases of suspected fraud or rule violations.
• Payout calculations and ranking systems are algorithmic and may vary between contests.

Fair Play: You agree not to manipulate votes, use bots, create fake accounts, or engage in any fraudulent activity. Violations may result in disqualification, forfeiture of prizes, and permanent account termination.

7. Account Termination

Doolz may suspend or terminate your account at any time for any reason, including violations of these Terms. Upon termination, you forfeit all prizes, earnings, and in-app assets. Doolz retains its right to continue using your uploaded content under the license described in Section 3.

8. Limitation of Liability

Doolz is provided "as is," without warranties of any kind.

To the maximum extent permitted by law, Doolz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total aggregate liability shall not exceed the amount you have paid us in the preceding 12 months (if any).

Some jurisdictions do not allow certain liability exclusions; in such cases, our liability shall be limited to the maximum extent permitted by law.

9. Changes to Terms

We may modify these Terms at any time. If material changes occur, we will notify users via email or in-app notification.

Continued use of the Service after any change constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state or jurisdiction where Doolz LLC is registered.

Any disputes shall be resolved exclusively in those courts.

11. Creator Partner Program

Program Overview: Doolz may offer a Creator Partner Program that allows approved influencers and content creators to earn compensation for referring new users to the platform.

Eligibility and Approval: Participation in the Creator Partner Program is subject to Doolz's sole discretion and approval. Not all applicants will be accepted. Doolz reserves the right to reject any application without providing a reason.

Earnings and Payments: Partner earnings are tracked and calculated according to the program terms provided at the time of approval. Doolz does not guarantee any minimum earnings and is not obligated to process payouts until a minimum payout threshold (currently $25 USD) is met. Payment methods, schedules, and processing fees are determined by Doolz and may be changed at any time.

Program Modifications: Doolz reserves the right to modify, suspend, or terminate the Creator Partner Program at any time, with or without notice, for any reason. This includes, but is not limited to:

• Changing compensation rates or earning structures
• Modifying eligibility requirements or minimum payout thresholds
• Suspending or terminating individual partner accounts
• Discontinuing the entire program

Partner Obligations: Partners agree to:

• Promote Doolz honestly and in compliance with all applicable laws and regulations
• Not engage in fraudulent activity, including creating fake accounts or manipulating referrals
• Comply with FTC guidelines and disclose their partnership with Doolz where required
• Not make false or misleading claims about the platform or potential earnings

Termination: Doolz may terminate a partner's participation in the program at any time if the partner violates these Terms, engages in fraudulent activity, or for any other reason at Doolz's sole discretion. Upon termination, any unpaid earnings may be forfeited.

No Employment Relationship: Participation in the Creator Partner Program does not create an employment, agency, or partnership relationship between the partner and Doolz. Partners are independent contractors responsible for their own taxes and legal obligations.

Program Conclusion: Doolz may conclude, discontinue, or wind down the Creator Partner Program at any time without prior notice or liability to partners. In the event of program termination, Doolz will honor outstanding earned payments that meet the minimum payout threshold, subject to verification and compliance review.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be interpreted to achieve its intent to the greatest extent possible, and the remaining provisions shall remain in full force and effect.
